These Terms & Conditions ("Terms") govern the business relationship between TravelChinaService (hereinafter "TCS") and travel agents, tour operators, and other business partners (hereinafter "the Partner").
Purpose and Scope
These General Terms and Conditions (the "Agreement") govern the business relationship, booking protocols, operational execution, and financial settlements between TravelChinaService (the "Company", "we", "us") and registered international travel agencies, tour operators, and wholesalers (the "Partner", "you"). By submitting a booking request, both parties agree to act in good faith to protect the travel experience of the end clients ("Travelers") and uphold the professional reputation of both organizations.
Booking, Quotation, and Confirmation
- Validity of Quotes: All price proposals are provided based on current local tariffs, exchange rates, and government taxes. Quotes remain valid for the period explicitly stated in the specific itinerary proposal.
- Booking Request: A booking process is officially initiated upon receipt of a written request via our designated B2B communication channels.
- Final Confirmation: A binding reservation is established only when the company issues a formal, written "Booking Confirmation" alongside the corresponding corporate invoice.
Payment Terms, Remittance Rules, and Compliance
To maintain operational integrity and comply with strict international and domestic financial regulations, both parties agree to the following payment protocols:
- Deposit and Balance Payments: To secure reservations for high-demand or time-sensitive resources (including high-speed rail ticketing, domestic flights, and specific hotel room blocks during peak seasons), a deposit of 10% to 30% of the total invoice value is required upon confirmation. The remaining balance must be settled in full no later than 30 days prior to the Travelers' arrival date, as specified in the booking confirmation.
- Approved Financial Channels: All settlements must be processed exclusively via standard international bank-to-bank telegraphic transfers (T/T) to our designated corporate bank accounts.
- Prohibition of Non-Traditional Financial Providers: The Company does not accept payments routed through unverified third-party payment platforms, money transfer agencies, or shadow financial intermediaries.
- Mandatory Payment Reference: For seamless verification and accounting transparency, every wire transfer must explicitly include a reference note stating that the funds are for "China Travel Services" along with the corresponding invoice number.
- Compliance and Termination: The Partner is responsible for vetting their remittance pathways. In the event that a payment is flagged as originating from an unverified source, or is suspected of non-compliance with standard Anti-Money Laundering (AML) regulations, the Company reserves the right to suspend services immediately to avoid mutual legal risk. We will work transparently with the Partner to resolve any legitimate banking compliance issues.
- Remittance Expenses: To ensure the net invoiced amount arrives in full, all outbound bank transfer fees, intermediary banking fees, and currency conversion costs are to be borne by the remitting party.
Pure Sightseeing Compliance and No Shopping Ground Operations
We firmly believe that a B2B partnership should mitigate risk, not create post-trip complications. Our operations are governed by a strict quality framework:
- Zero Commission-Driven Detours: The Company guarantees that no mandatory shopping stops (e.g., jade factories, silk mills, tea ceremonies, or traditional medicine centers) will be integrated into any itinerary.
- Itinerary Integrity: Every operation on the ground is dedicated to genuine cultural heritage, historical exploration, and seamless logistics. Local guides are salaried professionals incentivized strictly on client satisfaction, not on sales commissions.
- Optional Cultural Experiences: Any evening performances, local culinary experiences, or regional activities not included in the original contract must either be pre-approved by the Partner or explicitly requested by the Traveler on the ground. Guides are strictly prohibited from utilizing coercive tactics. All requested on-site activities will be provided with transparent, upfront market pricing.
Amendments, Cancellation, and Refund Policies
Recognizing that travel planning involves fluid circumstances, our cancellation policies are designed to balance supplier obligations with fairness to our Partners.
- Standard Cancellation: Cancellation requested by the Partner under normal operational circumstances will follow a tiered scale based on the notice period provided before the scheduled arrival date, as outlined in the specific booking agreement.
- Force Majeure Cancelations and Refund Policy: In the event that a journey must be canceled due to verifiable Force Majeure factors (such as natural disasters, extreme weather events, sandstorms, sudden government restrictions,war affairs or border closures), the Company will actively support the Partner with the following refund protocol:
- Deduction of Actual Incurred Costs: The Company will deduct only the actual, non-recoverable expenses that have already been legally and financially committed to third-party suppliers at the time of cancellation. This includes, but is not limited to, already-issued domestic flight or high-speed rail tickets, and non-refundable deposits required by high-demand hotels or local heritage transport operators.
- Prompt Remittance of Remaining Funds: After deducting these verifiable, non-recoverable third-party supplier fees, the Company will promptly process and return the remaining balance of the payment to the Partner without unnecessary administrative delay.
- Company-Initiated Alterations: The Company reserves the right to adjust routes, hotel selections, or transit links due to sudden local operational realities (e.g., domestic flight rescheduling, monumental renovations, or regional infrastructure maintenance). In such rare instances, an alternative of an equivalent or superior standard will be provided, and the Partner will be notified immediately.
Passport, Visa, and Border Requirements
- Partner Responsibility: The Partner retains the responsibility to ensure that all Travelers hold a passport valid for at least six (6) months beyond their intended departure date from China and possess the appropriate visas, health documentation, or entry permits required by the authorities of the People's Republic of China.
- Operational Limitations: The Company will provide all necessary formal invitation templates or itineraries to support visa procurement but cannot be held liable for any financial losses or trip interruptions arising from a Traveler being denied entry by border authorities.
Force Majeure and Liability Boundaries
- Force Majeure Definition: Neither party shall be held liable for a failure or delay in performing its obligations if such failure is caused by an act of God, extreme weather, strikes, civil unrest, war, epidemics, or state-ordered closures of major heritage sites.
- Supplier Limitation: The Company acts as an expert ground operator utilizing vetted third-party service providers (independent hotels, rail networks, airlines, and local cruise lines). While we maintain strict quality control and take immediate corrective action on the ground if a supplier fails to perform, the Company cannot be held directly liable for personal injury, property damage, or delays caused by the independent negligence or operational failure of these third-party entities.
Dispute Resolution and Governing Law
- Amicable B2B Mediation: In the event of an operational dispute or a client complaint, both parties agree to prioritize an amicable, private business-to-business resolution. Detailed feedback and documentation must be shared within fourteen (14) days of the trip's conclusion to allow for a thorough joint investigation.
- Governing Law: This Agreement, its performance, and any legal disputes arising out of it shall be governed by, interpreted, and enforced in accordance with the laws of the People's Republic of China.
- Jurisdiction: Any legal actions or arbitration proceedings that cannot be resolved through amicable B2B mediation shall be submitted to the competent court where TravelChinaService is legally registered.
